These Terms of Service ("Terms") govern your access to and use of the websites, applications, and related services offered by Nexus Mode ("we," "us," or "our") (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be able to form a binding contract in your jurisdiction to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate registration information and keep it up to date. Notify us promptly of any unauthorized use of your account.
We provide project and work management tools, including features that may change over time. We may modify, suspend, or discontinue any part of the Service with reasonable notice where practicable. We do not guarantee that the Service will be uninterrupted or error-free.
You retain ownership of content you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive license to host, store, reproduce, and display Your Content solely as necessary to operate, secure, and improve the Service for you and your authorized users. You represent that you have the rights needed to grant this license and that Your Content does not violate law or third-party rights.

The Service may integrate with third-party services (for example authentication providers). Your use of those services may be subject to the third party's terms and privacy policy. We are not responsible for third-party services we do not control.
If you purchase paid features, fees and billing terms will be presented at purchase or in a separate order. Unless stated otherwise, fees are non-refundable except as required by law. We may change pricing with reasonable notice.
The Service, including its software, branding, and documentation, is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are granted to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CA$100), IF YOU HAVE NOT PAID US. THESE LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT, OR OTHERWISE.
You will defend and indemnify us against third-party claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms or if we are required to do so by law. Provisions that by their nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.
These Terms are governed by the laws applicable in the Province of Ontario, Canada, without regard to conflict-of-law rules, and the courts located there will have exclusive jurisdiction, subject to mandatory consumer protections in your place of residence where applicable.
We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms, where permitted by law.
